Il 2023 è il 28esimo anno consecutivo in cui pubblichiamo il Board Index in Italia. La guida di Spencer Stuart è uno strumento fondamentale per rilevare la progressiva evoluzione del sistema di corporate governance delle prime 100 società italiane per capitalizzazione.
Sempre più centrale, nell’ambito dei pilastri della «buona governance», la chiara profilazione delle figure di Presidente e CEO, con conseguente identificazione dei profili che facciano fronte al meglio alle specifiche esigenze dell’azienda. L’esigenza di una corretta identificazione delle figure apicali solleva la necessità di una pianificazione strutturata della successione del vertice aziendale, che tuttavia ancora oggi è effettuata da un numero limitato di aziende italiane.
Le trasformazioni monitorate nell’ambito della corporate governance si intersecano con le continue sfide dell’economia e del contesto geo-politico e di mercato. Assistiamo in questa fase alla definizione di un nuovo paradigma, che possiamo identificare con l’acronimo «R-ESG», in cui i risultati economico-finanziari («R») si combinano e si integrano con le logiche ESG. In questo contesto, la governance ricopre allo stesso tempo il ruolo di bussola e motore sia per la realizzazione degli obiettivi aziendali e la resilienza dell’impresa, sia per la capacità del Paese di attrarre investimenti. Una governance che vede, da un lato, crescere l’attenzione alla sostenibilità, confermata dal buon numero di società che hanno creato Comitati con deleghe specifiche, e dall’altro, aumentare lievemente la presenza femminile nei Board, mentre il numero dei Consiglieri under 40 risulta ancora molto basso.

The exigency of a correct identification of top management figures raises the need for structured succession processes, which, however, are still carried out by a limited number of Italian companies.
The transformations monitored in the field of corporate governance intersect with the ongoing challenges of the economy and the geo-political and market context. Currently, we are witnessing the definition of a new paradigm, which we can identify with the acronym "R-ESG", in which economic and financial results ('R') are combined and integrated with ESG logics. In this context, governance plays the role of a central enabling tool: it is both a key compass and a driver for both the successful realization of corporate goals and the resilience of the company, and for the country's ability to attract investments.
A governance that sees, on the one hand, an increase in attention to sustainability, confirmed by the significant number of companies that have created Committees with specific proxies, and on the other a slight increase in the presence of women on the Boards, while the number of Directors under 40 is still very low.
